TERMS AND CONDITIONS

1. INTRODUCTION

1.1 Purpose of TheTerms

Welcome to TOPMe! These Terms of Service ("Terms"), which we may update from time to time, apply to the TOPMe Platform, including our website at www.topme.org and any new features we might add. These Terms are important because they define our relationship with you as you use the Platform. "TOPMe", "we", "us", "our", and other similar terms shall refer to the party you are contracting with.

1.2 Acceptance of Terms

By using any of the Services or the Platform, you are agreeing to these Terms. This means you understand and accept all the rules about using our Services. Whether you are contributing to a Project as a Donor, creating and managing a Project as a TOPMe Angel, receiving funds as a Service Provider, or otherwise interacting with the Services, these Terms apply to you. By using the Platform, you confirm that you are contracting with TOPME.COM Ltd. You consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located. If you are outside the United States, you must consent to the jurisdiction of any Federal District court in any judicial district in which GoFundMe operates; and

1.3 Governing Law

For the purpose of these terms, you consent to the jurisdiction of the Federal High Court for the judicial division in which your address is located. If you are outside Nigeria, you must consent to the jurisdiction of any Federal High Court or its equivalent in any judicial division or district in which TOPMe operates. To the extent that the Platform is accessible to users in the European Economic Area or the United Kingdom, we seek to comply with the principles of the General Data Protection Regulation (GDPR) GDPR and UK General Data Protection Regulation (UK GDPR) respectively.

2. DEFINITIONS

These are the key terms that you need to know that will be referenced throughout these Terms:

2.1 Platform

The entire suite of online Services provided by TOPMe including our website at www.topme.org and any related software, services, or technologies.

2.2 User

Any individual or entity that uses or accesses the Platform, including TOPMe Angels, Donors, Service Providers, and Visitors.

2.3 Visitor

A non-registered individual who browses and interacts with publicly available content on the Platform, including viewing Project pages and reading blog posts without creating an Account.

2.4 Account

A unique account created by a user to access and utilise TOPMe's Services, which includes activity logs and providing personal information, credentials.

2.5 TOPMe Angel (or "Angel")

Registered users who create and manage projects.

2.6 Angel Support

A direct financial support transaction facilitated through the Platform enabling Donors to provide support directly to a TOPMe Angel in connection with their project management activities.

2.7 Donor

User, registered/unregistered, who contribute financially to projects on the platform.

2.8 Service Provider

Entities or institutions that are designated by Angels to receive donations and to execute the underlying purpose of a project.

2.9 Profile

A feature that allows users to share their activity with other users and the public through the Platform.

2.10 Messages

Communications between users sent through the in-app messaging features on the Platform. TOPMe has no access to the content of private messages. Messages are processed for delivery metadata only, as described in our Privacy Policy.

2.11 Project

A social impact fundraising project created and managed by a TOPMe Angel on the Platform.

2.12 Project Adoption

The feature that allows users to publicly support and share a Project in order to help it reach its funding goal, and to signal their commitment to the cause.

2.13 Services

All features, functionalities, and tools provided by TOPME.COM Ltd through its Platform, enabling users to create and manage Projects, make donations, send messages, interact with blog content, adopt projects, and engage with each other.

2.14 Services Content

All content and materials provided by TOPMe on the Services, including text, graphics, logos, images, and software, but excluding User Content.

2.15 Transaction Fee

A fee charged by TOPMe or its payment processors for processing donations and Angel Support transactions.

2.16 Transfers

The process of disbursing funds raised through the Services to a Service Provider's designated bank account.

2.17 User Content

Any content, activity, or information, including your name, text, images, videos, and other materials, that a user posts, uploads, submits, or otherwise makes available through the Services.

3. THE SERVICES WE PROVIDE

3.1 Description of Services

We offer a Platform for verified TOPMe Angels to create and manage social impact Projects, for Donors to contribute to those projects and for service providers to receive donations to execute the project. The Platform also provides tools for project management, in-app messaging, blog creation and interaction, project adoption, donation notifications, administrative oversight, and analytics and reporting. Our Platform is designed to promote transparency, accountability, and accessibility in social impact fundraising.

3.2 Our Role and Limitations

Our Services are a tool for creating social impact Projects and helping Angels connect with Donors and Service Providers. We are not a bank, payment processor, broker, charity, or financial advisor. All information provided through our Services is for your general knowledge and is not meant to be professional financial, legal, or tax advice. If you need specific advice on these matters, you should consult with a professional. TOPMe is designed to promote transparency, accountability, and trust in fundraising. We implement structured onboarding and oversight measures, including vetting Angels before they are admitted to the platform and reviewing the first project submitted by each Angel to ensure alignment with our principles and operating standards. We also encourage, and by design prioritize, the use of verified businesses or entities as Service Providers to enhance traceability and accountability in the use of funds. In addition, we may monitor user activity and, where necessary, carry out off-platform confirmations to strengthen trust and reduce the risk of misuse. Notwithstanding these measures, TOPMe operates strictly as a platform provider. Donors are responsible for independently assessing the merits and credibility of any cause before contributing. While we take reports of fraud or misuse seriously and will take appropriate action where our Terms are breached-including cooperating with relevant authorities and providing necessary information to support investigations and recovery efforts-TOPMe shall not be liable for any financial misconduct, misappropriation, or loss arising from the actions of Angels, Service Providers, or any third parties beyond the scope of our platform controls.

3.3 TOPMe Guarantee

TOPMe is committed to operating a transparent and trustworthy fundraising platform. Where we determine, in our sole discretion, that a Donor has been defrauded as a direct result of a violation of these Terms by a TOPMe Angel or Service Provider, we will consider appropriate remedial action on a case-by-case basis such as suspending the users involved, ceasing the transfer of funds and making a formal report to relevant authorities. 3.4 Modification, Suspension, or Termination of Services

We can change, pause, or stop all or some of the Services at any time and for any reason. We will try to provide advance notice of material changes where possible, but we may not always be able to do so, particularly in emergencies or where required by law. We are not responsible for any unintended issues or damages that these changes might cause. We shall not be liable for any loss of data, profits, goodwill, or business resulting from such changes.

3.5 Featured Angels

On the TOPMe homepage, we display Featured Angels selected by an algorithm based on completed projects, total funds raised, and number of Donors. The ordering of results may also be influenced by your location and engagement history on the Platform. These rankings are designed to surface impactful Angels and are not paid placements.

4. ACCOUNT CREATION AND ELIGIBILITY

4.1 Registration Requirements

When you sign up to use our Services, you must provide information that is correct and complete about yourself as required. For TOPMe Angels, this includes your first and last name, email address, password, phone number, date of birth, gender, country, state, city, residential address, biography, display picture, social media links, email address, and government-issued identity documents for verification. It is important to always keep this information up to date. Our Privacy Policy and these Terms govern the registration data and any other information you provide.

4.2 Identity Verification and Admin Approval

TOPMe Angels are required to complete a KYC (Know Your Customer) identity verification process, which involves submitting government-issued identification documents such as an International Passport, or Driver's License and your National Identification Number (NIN) where applicable. Angel accounts are subject to review and approval by our Admin team. Your first Project requires Admin approval within 24 hours; subsequent Projects from approved Angels will go live immediately. We reserve the right to reject, suspend, or revoke Angel status at our sole discretion where our verification requirements are not met or where violations of these Terms occur.

4.3 Service Provider Registration

Service Providers must register on the Platform with verified accounts and provide their entity name, contact details, and bank account information required for fund disbursement. Service Providers are additionally required to provide their National Identification Number (NIN) for verification of legitimacy. Service Providers are solely responsible for the accuracy of the information they provide. By registering as a Service Provider, you authorise us to disburse funds raised for the underlying Projects to your registered bank account.

4.4 Third-Party Service Sign-In

TOPMe Angels may register or sign in to the Platform using a third-party service such as Google, Facebook and X. By using this feature, you authorise us to receive certain profile information from that third-party service in accordance with our Privacy Policy and the terms of that service.

4.5 Compliance with Payment Processor Requirements

You may be required to agree to the terms of service of our third-party payment processors. If we or our payment processors discover that the information you have provided is inaccurate, violates these Terms or the terms of our payment processors, or if you misuse funds, we may immediately suspend or terminate your access to all or some of our Services. You could also face action by relevant regulatory or governmental authorities.

4.6 Age Restrictions

Account registration on the TOPMe Platform is strictly restricted to individuals who have attained the age of 18 years and above. By using our Platform or Services, you represent and warrant that you are at least 18 years old. Minors under the age of 18 may be referenced as beneficiaries in Projects on the Platform, but only through content provided by adult Angels or Service Providers with the appropriate consents of the relevant parents or guardians, as further described in Section 8 below.

4.7 Keeping Your Account Safe

You are responsible for keeping your password and account information confidential. Do not share your password with anyone. If you believe someone else has accessed your Account without your permission, you should notify us immediately at contact@topme.org. Always log out of your Account when you have finished using it, especially on shared devices. If you fail to keep your Account secure and comply with these Terms, TOPMe will not be responsible for any losses you may incur as a result.

4.8 Mobile Services

The Services include features accessible via a mobile device, including the ability to upload User Content, browse the Platform, and access certain features through a mobile browser. Your wireless carrier's standard charges, data rates, and other fees may apply. By using the Platform on a mobile device, you agree that we may communicate with you about matters related to your Account or security through electronic means to your mobile device.

5. PAYMENT PROCESSORS

TOPMe does not directly process payments. Instead, we use third-party payment processors to manage and process all donations and Angel Support transactions. For a Service Provider to receive donations, the Service Provider's bank account details must be registered on the Platform in accordance with Section 4.3 above. By making a donation, creating a Project, or accepting the role of Service Provider to a Project, you agree to the processing, use, or disclosure of data by our Payment Processors pursuant to these Terms. 6. USER RESPONSIBILITIES AND OBLIGATIONS

6.1 TOPMe Angels

As a TOPMe Angel, you represent and warrant that all User Content you provide about your Project is accurate and true. You are responsible for describing clearly how funds will be used, and ensuring that all funds raised are used by the designated Service Provider for the underlying purpose of the Project. You are required to post regular updates to your Project(s) so Donors know how their money is being used and how the project is progressing toward its goal. This includes, but not limited to, providing updates on the status of the beneficiary, significant project milestones, and a final notification once the project is successfully completed. By creating a Project and appointing a Service Provider, you authorise TOPMe to disburse the funds raised to that Service Provider. When you create a Project, you agree to comply with all applicable laws and regulations, including those relating to fundraising, financial transactions, and data protection. If you are using personal data about any individual including their name, image, or other identifying information, you must have their consent to share it on the Platform.

6.1.1 Maintaining Accurate Information

It is essential to keep your registration details accurate and current. This includes updating your name, address, display picture, and any media you use to represent yourself and ensuring that information about your Project is true and accurate. This helps maintain transparency and trust with Donors and ensures compliance with these Terms.

6.1.2 Reporting Concerns

We take all reports of fraud or misuse of funds very seriously. If you have reason to believe that a Service Provider is not using funds for its stated purpose, please use the "Report a Project" button on the Project page or the "Submit a Report" feature on our Contact page to alert our team.

6.1.3 Obligation to Cooperate

When you create a Project on TOPMe, you agree to fully cooperate with any request for evidence that we deem necessary to verify your compliance with these Terms. Our requests may include, but are not limited to, asking you to: (a) explain how funds were or will be used; (b) supply documentary evidence of the circumstances described in your Project; (c) identify any party receiving or benefitting from the funds; or (d) supply evidence of the Service Provider's consent to the stated purpose of the Project. We reserve the right to refuse, condition, suspend, freeze, or ban any donations, Accounts, Projects, Transfers, or transactions that we believe, at our sole discretion, may violate these Terms or harm the interests of our users, the public, or TOPMe.

6.1.4 Donor Information

We may provide you with access to certain information about Donors who contribute to your Project including their name or pseudonym. You may use this Donor information solely to communicate with Donors about your Project and related fundraising activities. You may not sell, share, or otherwise use this information for any unrelated or commercial purpose. You are solely responsible for complying with all applicable data protection laws when contacting Donors.

6.2 Donors

When you donate to a project on TOPMe, it is your responsibility to understand how your donation will be used. You will receive email and platform notifications as Angels make updates to projects you donate to. We are not responsible for what Angels promise in their Projects, and we do not guarantee that donations will be used in accordance with any fundraising purpose described. However, we take all reports of fraud or misuse of funds seriously and will take appropriate action against any Project or user that violates these Terms.

6.2.1 Making Donations

When you donate to a Project, you must provide valid payment information. You represent and warrant that your payment information is correct and that you are legally authorised to use your payment method. Once a donation is made, it will not be refunded except in accordance with Section 7 below. We use third-party payment processors to process your donation, and by donating, you agree to allow our payment processors to handle your payment information in accordance with their terms and these Terms.

6.2.2 Anonymous and Pseudonymous Donations

You may choose whether your official name or a pseudonym is displayed in connection with your donation on the Platform. If you choose to donate anonymously, your donation will be displayed as "anonymous" on the public activity feed. Please note that regardless of your public display preference, your actual name and other information may still be visible to the TOPMe team and will be processed in accordance with our Privacy Policy.

6.2.3 Unregistered Donors

If you donate without creating an Account, we will collect your email address to send you project update notifications in accordance with your consent. Unregistered Donors are bound by these Terms to the extent applicable to their use of the Platform.

6.2.4 Reporting Concerns

We take all reports of fraud or misuse of funds very seriously. If you have reason to believe that a Service Provider is not using funds for its stated purpose, please use the "Report a Project" button on the Project page or the "Submit a Report" feature on our Contact page to alert our team.

6.3 Service Providers

As a Service Provider, you represent and warrant that all information you provide on registration including your entity name, contact details, and bank account information is accurate and complete. You are solely responsible for the legitimate use of funds disbursed to you through the Platform, in accordance with the purpose of the relevant Project. By accepting funds through the Platform, you agree to use those funds only for the purpose described in the Project and to provide accurate reporting to the relevant TOPMe Angel upon request. TOPMe contractually requires Service Providers to handle Donor data and Project information in accordance with applicable data protection laws. Service Providers are also bound by these Terms in relation to their use of the Platform.

6.4 Tax Responsibilities

We do not withhold funds for tax purposes. TOPMe Angels, Donors, and Service Providers are solely responsible for calculating, reporting, and paying any applicable taxes arising from their use of the Platform or from any funds received or donated through the Platform, in accordance with applicable tax laws and any other relevant tax legislation.

6.5 Angel Profiles

When using your Profile, you agree to adhere to all the terms regarding User Content and User Conduct set forth in Section 8 ("Prohibited Projects and User Content") and Section 9 ("Prohibited User Conduct") below. You may use a display name or other identifier on your Profile, but we reserve the right to remove it if we believe it is inappropriate or if it violates these Terms. By choosing to make your Profile public, you acknowledge that your Profile information, activities, and related User Content may be visible to other users and to the general public. You give us permission to display information associated with your Profile such as your name, profile photo, and project activity in connection with other content on the Platform.

6.6 Messaging

You may not use the in-app messaging feature to harass, solicit off-platform payments, send spam or scams, or share content that violates these Terms. TOPMe has no access to the content of private messages exchanged between users, but we process delivery metadata in order to ensure reliable delivery and prevent abuse of the messaging system. We reserve the right to suspend platform access where we have reasonable grounds to believe the messaging system is being misused.

6.7 Blog and Community Interactions

When you post comments, like content, or interact with blog posts and Project threads on the Platform, you agree that your interactions may be visible to other users and the general public. You are solely responsible for all User Content you post in connection with blog interactions. We reserve the right to remove content that violates these Terms, is inappropriate, or is otherwise harmful, without prior notice.

6.8 Project Adoption

By adopting a Project on the Platform, you are publicly signalling your support for the Project and committing to help share it to attract further donations. Your adoption activity may be visible to other users of the Platform. By adopting a Project, you agree that your adoption information will be shared with the relevant TOPMe Angel and may appear in the Project's public activity feed.

7. TRANSFERS, HOLDS, RETURNS, AND CHARGEBACKS

7.1 Fund Disbursements

TOPMe is a technology facilitator and does not hold funds on the platform or act as a bank, trustee, or fiduciary. We provide an infrastructure to connect Angels, Donors, and Service Providers. All donations are processed and held by our licensed payment partners and are stored in a secure, non-interest-bearing escrow environment pending disbursement and are never commingled with our corporate operating funds except for stated payment processing charges. Donations are 'earmarked' for the specific Service Provider named in the project and are subject to their applicable terms.. The Platform only initiates the transfer of these funds upon verification of project milestones. No funds are paid to Angels..

7.2 Refunds

Once a donation is made, it is generally non-refundable. However, we reserve the right to trigger a reversal of donations from the payment processor back to the original Donors, subject to the processor's refund terms in the following circumstances: (a) where we determine, in our sole discretion, that a Project violates these Terms and a refund is necessary to protect Donors; (b) where a Project is cancelled, rejected, or removed by TOPMe before disbursement; or (c) where a Donor disputes a transaction through our payment processors and the dispute is resolved in their favour in accordance with the payment processor's chargeback or dispute resolution procedures. All refund decisions are made at our sole discretion, and we are not obligated to issue a refund in any circumstance not expressly listed above.

7.3 Payment Holds

We or our payment processors may place a hold on funds associated with a Project where we have reasonable grounds to suspect fraud, misuse, or a violation of these Terms. We will notify the relevant TOPMe Angel of any hold and provide an opportunity to address our concerns before any final decision is made. We reserve the right to cancel a Project and return funds to Donors where a hold investigation reveals a violation of these Terms.

7.4 Chargebacks

If a Donor initiates a chargeback through their bank or payment card provider in respect of a donation made on the Platform from unauthorized transactions, misrepresentation, or processing errors, such claims will be reviewed. Donations are generally non-refundable except in cases earlier stated or where satisfactory evidence for conditions that satisfy a chargeback are met as determined by TOPMe.

8. PROHIBITED PROJECTS AND USER CONTENT

8.1 Prohibited Projects

The following types of Projects are prohibited on the TOPMe Platform and will be removed: • Projects that are fraudulent, misleading, deceptive, or inaccurate in their description, purpose, or use of funds; • Projects intended to fund illegal activities or that violate the law or the laws of any other relevant jurisdiction; • Projects that promote violence, terrorism, hate speech, or discrimination on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic; • Projects that involve the exploitation of minors or that publish identifiable information about children without appropriate parental or guardian consent; • Projects that misrepresent the identity, credentials, or affiliation of a TOPMe Angel, Donor, or Service Provider; • Projects that constitute pyramid schemes, multi-level marketing, or other fraudulent investment arrangements; • Projects involving the sale of illegal goods or services, including controlled substances, counterfeit goods, or unlicensed financial services; • Projects that raise funds for gambling, betting, or similar activities; • Projects that violate the intellectual property rights of any third party; and • Projects that TOPMe determines, in its sole discretion, to be harmful to users, the public, or the integrity of the Platform.

8.2 Prohibited User Content

The following types of User Content are prohibited on the Platform: • Content that is false, misleading, or deceptive; • Content that is defamatory, harassing, abusive, threatening, or invasive of another person's privacy; • Content that includes personal information about a third party without their consent; • Content that constitutes hate speech or promotes discrimination; • Sexually explicit or pornographic content; • Content that depicts or promotes violence or harm to any person or animal; • Content that infringes the copyright, trademark, or other intellectual property rights of any third party; • Spam, unsolicited promotional material, or content designed to mislead search engines or the Platform's recommendation algorithm; • Content containing malicious code, viruses, or other harmful programs; and • Content that violates any applicable law or regulation.

8.3 Content Involving Minors

Where a Project references or depicts minors for example, in charitable initiatives supporting children or vulnerable young people, any names, images, or related information about minors must be provided by adult Angels who have obtained the consent of the relevant parent or legal guardian. We strongly encourage creators to minimise the use of identifiable information about children in publicly available Project content. TOPMe does not collect data directly from minors and will remove content involving minors that we believe has been posted without appropriate consent.

9. PROHIBITED USER CONDUCT

The following conduct is prohibited on the TOPMe Platform: • Creating multiple Accounts or impersonating another person or entity; • Providing false, misleading, or fraudulent information during registration, in a Project, or in any other interaction with the Platform; • Using the Platform to raise funds for a purpose other than that described in a Project; • Misappropriating or misusing funds raised through a Project for any purpose not stated in the Project description; • Using the Platform to conduct, facilitate, or promote money laundering, terrorist financing, or any other illegal financial activity; • Attempting to circumvent, disable, or interfere with the security features of the Platform; • Using automated tools, bots, or scripts to access or interact with the Platform without our prior written consent; • Scraping, harvesting, or otherwise extracting data from the Platform for commercial purposes; • Soliciting off-platform payments from other users or using the Platform to redirect Donors to external fundraising pages; • Harassing, threatening, or abusing other users through the messaging system or in any other interaction on the Platform; • Sharing or distributing User Content that violates Section 8.2 above; • Using the Platform to post spam, unsolicited advertising, or promotional material not related to a legitimate Project; • Attempting to manipulate the Featured Angels algorithm or the Platform's recommendation or search systems; and • Any other conduct that TOPMe determines, in its sole discretion, to be harmful to users, the public, or the integrity of the Platform.

10. CONTENT MODERATION AND REPORTING

10.1 Our Moderation Rights

TOPMe reserve the right, but do not have the obligation, to review, monitor, and moderate all User Content posted on or through the Platform. We may remove, suspend, or take other action in respect of any User Content or Project that we believe, in our sole discretion, violates these Terms or is otherwise inappropriate or harmful, without prior notice and without liability to you or any third party.

10.2 Reporting Projects and Content

If you believe that a Project, user, or piece of content on the Platform violates these Terms or applicable law, please use the "Report a Project" button on the relevant Project page or the "Submit a Report" feature on our Contact page. We will investigate all reports and take appropriate action, which may include removing content, suspending Accounts, or referring matters to the relevant authorities.

10.3 Cooperation with Authorities

TOPMe will cooperate fully with law enforcement agencies, regulatory authorities, and courts of competent jurisdictions in connection with any investigation of fraud, misuse of funds, or other illegal activity on the Platform. We may disclose user information to such authorities where required or permitted by applicable law.

11. FEES

11.1 Transaction Fees

TOPMe and its payment processors charge fees for processing donations and Angel Support transactions. These fees are deducted from the donation amount before disbursement to the Service Provider. 11.2 No Hidden Fees

We are committed to full transparency on our fee structure. All applicable fees will be disclosed to users before a transaction is completed. TOPMe will not introduce new fees or materially change existing fees without providing advance notice to affected users in accordance with Section 20 below.

11.3 Payment of Fees

By making a donation or creating a Project, you acknowledge and agree to the applicable fees described on our Pricing and Fees page. You authorise us and our payment processors to deduct the applicable fees from the transaction amount before disbursement. TOPMe is not responsible for any fees charged by your bank or payment card provider in connection with your use of the Platform.

12. INTELLECTUAL PROPERTY RIGHTS, CONTENT OWNERSHIP, AND LICENCES

12.1 TOPMe's Intellectual Property

The TOPMe Platform, including its software, design, text, graphics, logos, and all Services Content, is owned by TOPME.COM Ltd. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or otherwise exploit any Services Content without our prior written consent.

12.2 Your User Content

You retain ownership of all User Content you post on the Platform. By posting User Content, you grant TOPME.COM Ltd a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, display, distribute, and adapt your User Content in connection with the operation, promotion, and improvement of the Platform and the Services. This licence continues for as long as your User Content remains on the Platform and for a reasonable period thereafter.

12.3 Your Representations

By posting User Content, you represent and warrant that: (a) you own or have the necessary rights and permissions to post the content; (b) the posting of your content does not violate the intellectual property rights, privacy rights, or other rights of any third party; and (c) your content complies with these Terms and applicable law. You are solely responsible for all User Content you post.

12.4 Feedback

If you provide us with any feedback, suggestions, or ideas about our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use such feedback for any purpose without obligation or compensation to you.

12.5 Copyright Infringement

We will investigate all credible infringement reports and take appropriate action.

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, storage, and disclosure of your personal data in accordance with our Privacy Policy. 14. THIRD-PARTY SERVICES AND CONTENT

14.1 Third-Party Links and Platforms

The Platform may contain links to third-party websites and platforms not operated or controlled by TOPMe, including the websites of Service Providers, and social media platforms. The Terms and Privacy Policy of TOPMe do not apply to those third-party sites. Links from the Platform do not imply that TOPMe endorses or has reviewed those sites. You access third-party sites at your own risk, and we encourage you to review their privacy policies and terms of service before interacting with them.

14.2 Social Sharing

The Platform enables you to share Projects and blog posts on social media platforms including Facebook, X, and Instagram etc. When you use these social sharing features, limited information such as project links and descriptions may be shared with those platforms in accordance with their respective terms of service. TOPMe is not responsible for the privacy practices or content policies of any social media platform.

14.3 YouTube Content

Where you upload video content to your Project page via a YouTube link, that content is subject to Google's Privacy Policy and Terms of Service in addition to these Terms and our Privacy Policy. TOPMe is not responsible for the availability or accuracy of any YouTube content linked from the Platform.

14.4 SendGrid

Transactional emails including donation confirmations, account notifications, and project updates are delivered via SendGrid. SendGrid processes these emails solely for delivery purposes and does not use your data for its own marketing. By using the Platform and providing your email address, you consent to the delivery of transactional emails through SendGrid.

15. SUSPENSION OR TERMINATION OF ACCOUNTS

15.1 Termination by You

You may deactivate or delete your Account at any time by contacting us at contact@topme.org or through your account settings page. Upon deletion, your Account and associated data will be processed in accordance with our data retention obligations as described in our Privacy Policy. Please note that certain data may be retained for legal and compliance purposes even after Account deletion.

15.2 Suspension or Termination by TOPMe

We may suspend, restrict, or terminate your Account and access to the Services at any time and for any reason, including but not limited to: (a) a breach of these Terms; (b) fraudulent, deceptive, or illegal activity; (c) misuse of funds raised through a Project; (d) failure to complete identity verification; (e) conduct that we believe poses a risk to other users, the public, or the Platform; or (f) non-payment of applicable fees. Where possible, we will provide notice of suspension or termination and the reasons for it, unless we determine that providing notice would compromise an investigation or is otherwise impractical.

15.3 Effect of Termination

Upon termination of your Account, your right to use the Services will immediately cease. Any funds pending disbursement at the time of termination will be handled in accordance with our payment processors' terms and applicable law. TOPMe is not liable for any loss or damage arising from the suspension or termination of your Account in accordance with these Terms.

16. DISCLAIMERS AND LIMITATIONS OF LIABILITY

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. TOPME DOES NOT WARRANT THAT THE PLATFORM WILL BE SECURE, FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY ERRORS WILL BE CORRECTED. TO THE FULLEST EXTENT PERMITTED BY THE LAW, TOPME AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND VENDORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR THESE TERMS, EVEN IF TOPME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES. TOPME IS NOT RESPONSIBLE FOR THE CONDUCT, REPRESENTATIONS, OR ACTIONS OF ANY USER, TOPME ANGEL, DONOR, OR SERVICE PROVIDER ON OR IN CONNECTION WITH THE PLATFORM. TOPME EXPRESSLY DISCLAIMS ANY LIABILITY FOR THE OUTCOME OR SUCCESS OF ANY PROJECT OR FOR THE APPLICATION OF FUNDS BY ANY SERVICE PROVIDER. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. To the extent that such laws apply, some of the limitations set forth above may not apply to you. If you are dissatisfied with any portion of the Services or with these Terms, your sole and exclusive remedy is to discontinue use of the Services.

17. INDEMNIFICATION AND RELEASE

17.1 User Indemnification

To the extent permitted by law, you agree to release, indemnify, and hold TOPME.COM Ltd and its Affiliates and their officers, employees, directors, and agents harmless from any and all losses, damages, expenses (including reasonable legal fees), costs, awards, fines, claims, and actions of any kind, arising out of or relating to: (a) your use of the Services; (b) any donation or Project; (c) any User Content you post; (d) your connection to the Services; (e) your violation of these Terms; or (f) your violation of any rights of another person or entity. You agree that TOPMe has the right to conduct its own defence of any claims at its own discretion, and that you will indemnify TOPMe for the costs of its defence.

17.2 Release

By using the Platform, you release TOPMe and its Affiliates from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes between you and any other user of the Platform, including disputes about Projects, donations, or fund disbursements.

18. DISPUTE RESOLUTION

18.1 Informal Resolution

In the event of any disagreement or dispute arising out of or in connection with these Terms or your use of the Services ("Dispute"), you must first contact us directly by email at contact@topme.org. You must provide your name, the email address associated with your Account (if any), a clear description of the Dispute, and the specific relief sought. You and TOPMe agree to engage in good faith efforts to resolve the Dispute informally within 30 days of us receiving your notice. You will not initiate any legal action during this period.

18.2 Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Subject to the informal resolution process in Section 18.1, any Dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the Federal High Court of Nigeria or such other court of competent jurisdiction in Nigeria as may be appropriate. Nothing in this Section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect their rights pending resolution of a Dispute.

18.3 Users in the EEA and UK

If you are located in the European Economic Area or the United Kingdom, disputes arising out of or in connection with your use of the Services may also be submitted to your local courts or appropriate dispute resolution body in accordance with applicable local law.

18.4 Disputes Between Users

You agree that you are solely responsible for your interactions with any other user of the Platform, and TOPMe will not have any liability or responsibility with respect to disputes between users. TOPMe reserves the right, but has no obligation, to become involved in any way with disputes between users.

18.5 Time Period for Claims

You agree that any claim or cause of action arising out of or related to the use of the Services or these Terms must be brought within one (1) year after such claim or cause of action arose, or it will be permanently barred to the extent permitted by applicable law.

19. CHANGES TO THE TERMS

19.1 Updates

We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. Where possible, we will provide 30 days' notice of substantive changes to these Terms by displaying a prominent notice on the Platform or via email. Changes may be made at short or no notice where required by law. When we make a change, we will post the revised Terms on this page and indicate the date of the revision. Your continued use of the Services after the date of any such changes constitutes your acceptance of the new Terms. If you do not wish to accept the new Terms, you should discontinue your use of the Services.

19.2 English Version Binding

To the extent allowed by law, the English language version of these Terms is binding, and any translations in other languages are for convenience only. In case of discrepancies between the English version and any translation, the English version shall prevail.

20. MISCELLANEOUS

20.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and TOPME.COM Ltd and govern your use of the Services, superseding any prior agreements between you and TOPMe with respect to the Services.

20.2 Waiver

The failure of TOPMe to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

20.3 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.

20.4 Assignment

You may not assign these Terms without the prior written consent of TOPME.COM Ltd and/or its Affiliates may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganisation, or sale of assets.

20.5 Notices

Notices to you may be made via email or through a prominent notice displayed on the Platform. Notices to TOPMe must be sent to contact@topme.org or to our registered office address.

20.6 Force Majeure

TOPMe shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, riots, government regulation, health emergencies, fire, floods, or strikes.

20.7 Section Titles

The section titles in these Terms are for convenience only and have no legal or contractual effect.

20.8 Printed Version

A printed version of these Terms and of any notice given in electronic form will be admissible in judicial or administrative proceedings to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

20.9 Relationship of the Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and TOPMe. You do not have authority to bind TOPMe in any way.
